iGhost – Terms and Conditions

The iGhost range of products are marketing products that rely on constant re-optimisation and modification of the iGhost site to ensure maximum visibility and best search engine positioning of your own site, based on the key words that you submit.
These terms and conditions focus on the guarantees of achieving ranking on the search engines, rather than the methods. The iGhost range of products entails the creation of a series of web-site that are optimised for the key-words supplied. These optimised web sites are then submitted on a regular basis to the search engines. You will receive an email ranking report detailed your position on the search engines under the keywords selected, within two weeks of launch, and then monthly thereafter.

Davrus reserve the right the amend the number and identity of the search engines to which it submits in order to ensure that the most common search engines are used. All submissions and issuing of reports are based on the original order information. It is the clients’ responsibility to make any changes to e-mail address and any changes to the URL(s) known to Davrus, by email. Davrus can therefore not be liable for any incorrect submission or incorrect issuing of reports.

Davrus Guarantees a minimum number of first page listing in the search engines listed below.

For the purpose of the guarantee these are.

7Search.com, Abacho UK, All the Web, All the Web (Any Language), Alta Vista, Alta Vista UK, AskJeeves, BBCi, Engine, Exactseek, Excite, Excite UK, Go.com, Google, Google UK, Google UK Local, HotBot, HotBot UK, Infouno, ixquick, LookSmart Web, Lycos, Lycos UK, Mamma, mirago, MIVA UK, MSN, MSN Australia, MSN Canada, MSN UK, NBCi, Netscape UK, NTLWorld, Overture UK, Splut, Teoma, Tiscali UK, Toxic Lemon, UK Net Guide, UK Plus, Virgin, Wanadoo, Wanadoo UK, Web Crawler, WindSeek, Yahoo, Yahoo UK, Yahoo UK (UK only).

These first page listings are for the specific search query under the key phrase submitted on the original order form, the actual minimum number of listing guaranteed is dependent on the iGhost package ordered, and are currently as follows.

The guarantee is based on achieving the above at some point within the first four months, once achieved the guarantee will have been satisfied. Once satisfied, the guarantee will be considered to no longer in force. Should the guarantee not be met, then Davrus will refund all monies paid by the client and the service will be discontinued. You will be contacted to see if you wish to continue with the service. Failure to comply with the payments terms, as detailed below, will invalidate the guarantee.

Achievement of the guarantee will be determined by the rank tracking report that Davrus will provide by email on a monthly basis. Davrus will inform the client when the Guarantee has been fulfilled. If the client believes this report to be incorrect, and the guarantee has not been fulfilled, it is the client’s responsibility to notify Davrus, by email within one week of receiving the report. Failure to notify Davrus within one week will invalidate the guarantee.

The guarantee will not be null and void should the clients own web site breach any law or the terms and conditions of any of the major search engines.

Payment of the applicable fees for iGhost is required before the service commences (either in full, or on receipt of the first agreed instalment) Notwithstanding the above, Davrus reserves the right to offer credit to the client, under these conditions an invoice will be raised, with payment on a strict 14 day term.

In the event that a monthly charge is agreed for iGhost, it is an absolute requirement of such agreement that you provide valid credit card details and authorise Davrus to debit your card with the applicable monthly fee without notice until cancellation in accordance with the terms of this Agreement has been given, unless it has been specifically agreed that credit will be provided for monthly payment, in which case the above 14 days terms apply.

In the event that payment at any time remains outstanding after the due date and you do not pay the outstanding fee within 2 days of a demand to make such payment, Davrus absolutely reserves the right to withdraw service and take legal action for recovery of all sums due. In such an event no reduction of fees for the unexpired proportion of the service shall be allowed.

The current fees for the iGhost products are as follows (All figures are ex-vat) and are offered as a 12 month minimum ongoing contract.

One invoice will be raised annually, with the payment schedule detailed on the invoice. Davrus reserve the right to amend the above fees from time to time, in such an event one months notice will be given. Where contracts are currently in place, these agreed contracts will be honoured, and any changes will be effective after the agreed contract expires.

Either you or Davrus may terminate the service, after the minimum agree contracted time (12 months) Davrus may terminate by a written or email notice to you. Notices of termination initiated by you must be made by e-mail or in writing for verification purposes and with a three month notice period, payable at the point of termination. Davrus shall not be liable to you or any third party for termination of Service. Should you object to any terms and conditions or any subsequent modifications hereto or become dissatisfied with the Service in any way, your sole recourse is to immediately: (1) discontinue use of the Service; (2) terminate the Contract; (3) pay the 3 month notice period in full, and (4) notify Davrus of termination. Upon termination of the service, your right to use the service immediately ceases. You shall have no right and Davrus shall have no obligation thereafter to forward any information associated with your account.

Either party may terminate the Service on three month notice if the other party has materially breached or is otherwise not in compliance with any provision of this Agreement, and such breach or non compliance is not cured within such 3 month period. Davrus reserves the right to immediately suspend any customer access to Davrus services until such breach or non compliance is cured.

At the expiry of the contracted period, 12 months either party may terminate the agreement in writing with a three month notice period. Specifically, it is agreed that you have no ownership rights over any web pages created by Davrus designed to achieve top ranking in the search engines and upon termination of the Agreement Davrus may remove these web pages or transfer them to another party at its own discretion.
